Please read these Terms and Conditions carefully before using the website at blaze.com.hk or engaging any services offered by Blaze Consultancy Limited (“Blaze”, “we”, “us”, or “our”). By accessing our Site or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our Site or services.
1. About Blaze Consultancy
Blaze Consultancy Limited is a business consultancy firm registered in Hong Kong. We provide consultancy, facilitation, and advisory services to assist clients in navigating Hong Kong’s regulatory, legal, compliance, accounting, and technology landscapes. Blaze acts as a facilitator and referring agent — we do not ourselves hold professional licenses (e.g. solicitor, CPA, SFC-licensed advisor) unless explicitly stated in a specific engagement letter. Where specialist licensed services are required, we coordinate with and refer to appropriately licensed third-party professionals.
2. Scope of Services
These Terms apply to all services offered by Blaze Consultancy, including but not limited to:
- Licensing Services — MSO, SFC, VASP, TCSP, Money Lending License application support
- Compliance Services — AML risk assessments, compliance programme development, policies & procedures
- Legal Services — facilitation of contract review, drafting support, litigation referrals, IP and employment law coordination
- Accounting Services — bookkeeping, financial reporting, payroll, tax compliance facilitation
- IT & Cybersecurity Services — cybersecurity assessments, incident response planning, cloud security consulting
The specific scope of services for each engagement is governed by the relevant proposal, quotation, or engagement letter agreed between Blaze and the client.
3. Facilitation and Referral Nature of Services
3.1 Blaze provides consultancy and facilitation services only. We assist clients in understanding regulatory requirements, preparing documentation, and engaging with relevant authorities or licensed professionals. We do not provide legally privileged advice, act as solicitors, provide audited financial statements, or hold ourselves out as regulated professionals unless a specific engagement explicitly states otherwise.
3.2 Where Blaze refers a client to a licensed third party (e.g. a solicitor firm, CPA, SFC-licensed entity), Blaze is not responsible for the advice, conduct, or outcomes delivered by that third party. Clients should satisfy themselves as to the qualifications and suitability of any referred professional.
3.3 Nothing on this Site or in any Blaze materials constitutes legal advice, financial advice, or investment advice.
4. Client Responsibilities
Clients engaging Blaze’s services agree to:
- Provide accurate, complete, and timely information required for the engagement
- Promptly notify Blaze of any changes in circumstances relevant to the engagement
- Comply with all applicable Hong Kong laws and regulations
- Not use Blaze’s services for any unlawful, fraudulent, or deceptive purpose
Blaze reserves the right to suspend or terminate an engagement if a client provides false or misleading information, or if we reasonably believe continued engagement may expose Blaze or any third party to legal, regulatory, or reputational risk.
5. Fees and Payment
5.1 Fees are set out in the relevant proposal or quotation issued to the client. All fees are quoted in Hong Kong Dollars (HKD) unless stated otherwise.
5.2 Payment terms are as specified in the engagement letter. Blaze reserves the right to suspend services where payment is overdue by more than 14 days.
5.3 All fees paid are non-refundable unless otherwise agreed in writing, except where Blaze has materially failed to deliver the agreed scope of services.
6. Limitation of Liability
6.1 To the fullest extent permitted by applicable Hong Kong law, Blaze Consultancy Limited shall not be liable for any:
- Loss of profit, revenue, business, or anticipated savings
- Indirect, consequential, special, or punitive damages
- Regulatory fines, penalties, or enforcement actions imposed by any government authority
- Outcomes of licensing applications, regulatory decisions, or third-party actions
6.2 Where liability cannot be excluded by law, Blaze’s total aggregate liability to any client arising from or in connection with any engagement shall not exceed the total fees paid by that client to Blaze in the three (3) months immediately preceding the event giving rise to the claim.
6.3 This limitation applies regardless of the cause of action, whether in contract, tort, negligence, or otherwise.
7. Confidentiality
Both parties agree to keep confidential all non-public information shared during the course of an engagement. Blaze will not disclose client information to third parties except: (a) with the client’s written consent; (b) as required by law or regulatory authority; or (c) to sub-contractors or referred professionals to the extent necessary to deliver the agreed services.
8. Intellectual Property
All materials, templates, frameworks, reports, and documents produced by Blaze in the course of an engagement remain the intellectual property of Blaze Consultancy Limited unless explicitly transferred in writing. Clients are granted a non-exclusive licence to use deliverables for their own internal business purposes.
9. Termination
Either party may terminate an engagement by providing written notice as specified in the relevant engagement letter. Upon termination, any fees due for work completed to date become immediately payable. Clauses relating to confidentiality, limitation of liability, and intellectual property survive termination.
10. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes shall be subject to the exclusive jurisdiction of the Hong Kong courts, unless the parties agree in writing to an alternative dispute resolution mechanism.
11. Amendments
Blaze reserves the right to update these Terms at any time. Updated Terms will be posted on this Site with a revised “Last Updated” date. Continued use of our Site or services after such updates constitutes acceptance of the revised Terms.
